# Terms of Service

What Vitals Vault provides, who makes medical decisions, how payments work, and the rules that apply when you use our services.

Effective August 20, 2026

## The short version

Vitals Vault helps you organize health information, coordinate lab services, and connect with independent health professionals and service partners. These are the points we most want you to understand before you use the service:

- Vitals Vault provides technology and administrative support. It does not practice medicine.
- Independent licensed professionals make all clinical decisions, including whether to order a test or prescribe treatment.
- Lab testing, health insights, and AI-supported features have limits. They can be delayed, incomplete, or wrong.
- Vitals Vault is not an emergency service. Call 911 or go to the nearest emergency department if you may be having an emergency.
- We show prices and any renewal schedule before you buy. Most services are self-pay unless we say otherwise.
- Our Privacy Policy explains how Vitals Vault handles personal information. Clinical partners may give you separate privacy notices.
- Section 18 requires most disputes to be resolved through individual arbitration. You have 30 days to opt out.

## Who does what

### Vitals Vault

Provides the platform, administrative support, health-data tools, and service coordination.

### Licensed professional or medical group

Provides medical care and makes clinical decisions, including whether to order a test, diagnose, treat, or prescribe.

### Lab or collection provider

Handles collection, sample processing, testing, and the lab results it produces.

### Pharmacy or other service partner

Provides and takes responsibility for its own products and services.

## 1. When these Terms apply

These Terms of Service are a legal agreement between you and Vitals Vault Inc. They apply when you visit our websites, create an account, buy a product or service, or use the Vitals Vault platform. If you don’t agree, don’t use the services.

When you check an acceptance box or use another electronic acceptance step, your electronic acceptance has the same effect as a handwritten signature. You also agree to receive agreements, notices, and service communications electronically.

## 2. Who can use Vitals Vault?

You must live in the United States and be legally able to enter into a contract. A parent or legal guardian may use Vitals Vault for a minor when the service allows it. If you do, you confirm that you have legal authority to act for the minor and accept these Terms on the minor’s behalf. Services may be limited by location, age, health information, or the availability of a properly licensed professional. Access does not guarantee that a test, consultation, prescription, treatment, or other service will be approved or provided.

## 3. What does Vitals Vault provide?

Vitals Vault provides technology, administrative support, lab coordination, health-data organization, educational content, and tools that help you understand and track your health information. We may also help you access services offered by independent licensed medical professionals, medical groups, laboratories, specimen-collection providers, pharmacies, and other service partners.

Some services have additional terms, consents, notices, or eligibility rules. We’ll show them to you when they apply. If they conflict with these Terms, the additional terms control for that service.

## 4. Who provides medical care?

Vitals Vault does not practice medicine or make clinical decisions. Any medical service is provided by an independent licensed professional or medical group. Your clinician-patient relationship is with that professional or medical group, not with Vitals Vault. The treating professional alone decides whether to order a test, diagnose, treat, prescribe, change a dose, request follow-up, or decline care.

Labs, collection sites, pharmacies, and other professionals are responsible for the services they provide. Vitals Vault does not direct their professional judgment or guarantee their availability, decisions, timing, or results.

## 5. What if you need urgent care?

Vitals Vault is not an emergency service and does not replace primary care, in-person care, or care from a specialist. If you think you may have an emergency, call 911 or go to the nearest emergency department. Do not wait for a message, result, alert, or response from Vitals Vault or a service partner.

## 6. What do we need from you?

You agree to:

- Provide complete, current, and accurate identity, location, health, and payment information.
- Correct information promptly if it changes or you discover an error.
- Follow specimen, appointment, medication, and safety instructions.
- Check your account, email, phone, and other agreed channels for time-sensitive messages.
- Seek qualified medical care when you have questions about a result or your condition.
- Use your account only for yourself and keep your login details secure.

Providers and other service partners may rely on what you submit. Incomplete or inaccurate information can cause a delay, an incorrect result, unsuitable care, or other harm. Where the law permits, Vitals Vault is not responsible for harm caused by your failure to meet these responsibilities.

## 7. What should you know about lab testing?

Lab testing has limits. Results may be delayed, incomplete, incorrect, affected by sample quality, or require confirmation. A result may not identify every condition or health risk. Timing estimates are not guarantees. You are responsible for reviewing your results and discussing them with a qualified professional.

Unless a service description clearly says otherwise, do not rely on Vitals Vault to monitor you continuously or to identify, diagnose, or contact you about an emergency or critical result. An attempted or failed contact does not replace your responsibility to obtain care.

## 8. How should you use health insights and AI?

Scores, ranges, summaries, recommendations, chat responses, and other insights are for education and general wellness unless a licensed professional clearly identifies a communication as clinical advice. Automated and AI-supported features can be incomplete, outdated, or wrong. They are not a diagnosis, prescription, medical device, or substitute for a qualified professional’s judgment.

Do not use an automated feature for an emergency or as the sole basis for starting, stopping, or changing medication, treatment, diet, exercise, or another health decision.

## 9. What happens when another company provides a service?

When you request a third-party service through Vitals Vault, your relationship with that provider, medical group, lab, collection provider, pharmacy, or other partner is governed by its applicable clinical consent, privacy notice, and service terms. Vitals Vault may collect payment or provide administrative support on another party’s behalf without becoming that party’s employer, agent, partner, or medical provider.

To the fullest extent permitted by law, Vitals Vault is not responsible for a third party’s professional judgment, acts, omissions, products, sample handling, testing, dispensing, shipping, scheduling, availability, or compliance. This does not limit liability for Vitals Vault’s own conduct where the law does not allow that liability to be limited.

## 10. How do prices, renewals, and refunds work?

You agree to pay the price, taxes, and fees shown before purchase. Unless we clearly say otherwise, services are self-pay. Vitals Vault does not promise reimbursement by an insurer, employer, HSA, or FSA. You remain responsible for the full charge.

If you buy an automatically renewing plan, checkout will show the amount and renewal schedule. We may charge the payment method on file until you cancel. Cancellation applies to future renewal periods and does not undo services already ordered, performed, shipped, or made available. ## 11. Which privacy rules apply?

Our [Privacy Policy](https://www.vitalsvault.com/privacy-policy) explains how Vitals Vault handles personal information. Our [Consumer Health Data Privacy Policy](https://www.vitalsvault.com/consumer-health-data-privacy) provides additional information and rights for consumer health data. Clinical records maintained by a licensed provider, medical group, lab, or pharmacy may also be governed by that party’s Notice of Privacy Practices.

Where required, you must accept a separate medical-records authorization before a third party may send medical information to Vitals Vault. You may revoke that authorization as described in the authorization, but revocation does not affect action already taken in reliance on it.

## 12. How can you keep your account safe?

You may not:

- Impersonate someone else, use another person’s information, or create a false account.
- Share an account, access another person’s records without authority, or bypass security controls.
- Interfere with the services, introduce harmful code, scrape restricted data, or test security without written permission.
- Copy, resell, reverse engineer, or use the services to build a competing product, except where the law permits.
- Use the services in an unlawful, fraudulent, abusive, or harmful way.

## 13. Who owns the service and the information in it?

Vitals Vault and its licensors own the platform, software, design, branding, and content, except for information you or a third party owns. While these Terms remain in effect, we give you a limited, personal, nonexclusive, nontransferable, revocable right to use the services for their intended purpose.

You keep ownership of information you submit. You give Vitals Vault permission to host, process, transmit, display, and create service-related outputs from that information only as needed to operate, secure, improve, and provide the services, subject to our privacy commitments and applicable law.

## 14. When can a service or account change or end?

We may change, suspend, or discontinue a feature when reasonably needed for safety, compliance, maintenance, partner availability, or business reasons. We may suspend or close an account for fraud, misuse, nonpayment, a legal or safety risk, or a material breach of these Terms. You may close your account by contacting us. Legal retention rules may require us or a clinical partner to keep certain records after the account closes.

## 15. What we do and don’t promise

To the fullest extent permitted by law, the Vitals Vault services are provided “as is” and “as available.” Vitals Vault disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not promise that the services will be uninterrupted, error-free, secure in every circumstance, or that any information, result, insight, product, or service will produce a specific outcome.

These disclaimers do not affect warranties or consumer rights that cannot legally be excluded.

## 16. What happens if something goes wrong?

To the fullest extent permitted by law, Vitals Vault and its officers, directors, employees, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits or data; service interruption; or the cost of substitute services arising from the services or these Terms.

To the fullest extent permitted by law, their total liability for all claims arising from the services or these Terms will not exceed the greater of $100 or the amount you paid directly to Vitals Vault for the service at issue during the 12 months before the event giving rise to the claim.

These limits do not apply to fraud, gross negligence, willful misconduct, or death or bodily injury directly caused by Vitals Vault where liability cannot legally be limited. They also do not limit privacy, data-protection, or other statutory rights that cannot be waived.

## 17. Your responsibility for certain third-party claims

To the fullest extent permitted by law, you will defend and indemnify Vitals Vault and its officers, directors, employees, contractors, and affiliates from a third-party claim, loss, or reasonable legal expense arising from your unlawful or unauthorized use of the services, your fraud or willful misconduct, content you submit in violation of another person’s rights, or your material breach of these Terms. This section does not require you to indemnify Vitals Vault for receiving ordinary health or clinical services or for Vitals Vault’s own wrongful conduct.

## 18. How will we handle a dispute?

Please contact us first so we can try to resolve a dispute. Before filing arbitration, either party must send a written notice describing the dispute and requested relief and allow 30 days for an informal resolution. Notices to Vitals Vault must be sent to the email and mailing address in Section 21 with “Notice of Dispute” in the subject or on the envelope.

Except for an eligible individual claim in small claims court, a request for emergency injunctive relief, or a claim that applicable law does not allow to be arbitrated, any dispute arising from these Terms or the services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The Federal Arbitration Act governs this section. Arbitration may take place by video, telephone, written submissions, or in the county where you live, as the rules allow.

You and Vitals Vault waive a jury trial and agree that claims may be brought only on an individual basis, not as a class, collective, consolidated, or representative action.

You may opt out of arbitration within 30 days after first accepting these Terms by emailing support@vitalsvault.com with the subject “Arbitration Opt-Out.” Include your full name, account email, mailing address, and a clear statement that you opt out. Opting out does not affect the rest of these Terms.

## 19. Which law applies, and how long do you have to file a claim?

Washington law governs these Terms, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs arbitration. Mandatory consumer protections in your home state still apply. Any court proceeding allowed under these Terms must be brought in state or federal court in King County, Washington, unless applicable law requires another location.

To the extent permitted by law, a claim must be filed within one year after it arose. A longer period applies where the law does not allow this period to be shortened.

## 20. What happens when these Terms change?

We may update these Terms. We will post the new version and update the effective date. If a change materially affects your rights, we will provide reasonable notice and request renewed acceptance when required. Changes do not apply retroactively to a dispute that arose before the change. If you do not agree to an updated version, stop using the affected services.

## 21. Other legal terms and how to contact us

These Terms and any service-specific terms are the entire agreement about the services. If one provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them as part of a merger, financing, reorganization, sale of assets, or by operation of law.
